Crowdfunding udziałowy w Stanach Zjednoczonych, Equity Crowdfunding in the United States of America

Abstract
The segment of alternative financial instruments has been growing rapidly. Crowdfunding is the form of alternative financing and alternative investment. Equity crowdfunding is defined as a form of financing in which entrepreneurs make an open call for funding on the Internet, hoping to attract a large group of investors. The aim of this paper is to present the core issues regarding equity crowdfunding as well as the analysis of the regulation and assessment of the development of this source of financing in the United States. Segment alternatywnych instrumentów finansowych rozwija się bardzo dynamicznie. Jedną z form alternatywnego finansowania i alternatywnego inwestowania jest crowdfunding, w ramach którego wyróżnia się crowdfunding udziałowy, polegający na pozyskiwaniu kapitału udziałowego w postaci małych sum pieniędzy przekazywanych przez inwestorów za pośrednictwem wyspecjalizowanych platform internetowych w zamian za obietnicę udziału w przedsiębiorstwie. Celem artykułu jest przedstawienie istoty crowdfundingu udziałowego jako alternatywnego instrumentu finansowania i inwestowania oraz analiza uregulowań prawnych i ocena stanu rozwoju tego źródła finansowania w Stanach Zjednoczonych.
