КОРПОРАТИВНІ ЗЛИТТЯ ТА ПОГЛИНАННЯ ЯК ПРИЧИНА ВИНИКНЕННЯ КОРПОРАТИВНОГО КОНФЛІКТУ

Abstract
У статті зроблена спроба розглянути корпоративні злиття та поглинання як причину виникнення корпоративних конфліктів в акціонерних товариствах. Відсутність у законодавстві України, Росії, Молдови й країн ЄС єдиного підходу до визначення понять «злиття» і «поглинання» є одним з каменів спотикання в гармонізації європейської правової системи. У результаті дослідження зроблено висновок про те, що причиною виникнення корпоративного конфлікту є дії, спрямовані на недружнє злиття (поглинання) товариства-цілі. Ключові слова: корпоративний конфлікт, злиття, поглинання, акціонерне товариство, міноритарний акціонер, мажоритарний акціонер, корпоративне управління.
