ROLE OF HUMAN RESOURCES DEPARTMENT IN CORPORATE GOVERNANCE/ CORPORATE SOCIAL RESPONSIBILITY

Abstract

The terms “Corporate governance” is a new buzzword of the 21P st P century. In fact the word “governance” is used for addressing all the issues. Generally the word “governance” is used for governing the country or a state whereby the person monitors and directs all the functions of the country or a state. In corporate scenario, governance is restricted to the enterprise controlled by a few people but used in order to usher confidence to all stakeholders. Thus corporate governance means different to different people. But all need to understand the term clearly and thus various frameworks were evolved over a period to identify the layers of corporate governance. The term “Corporate” refers to anybody doing business irrespective of the sector in which the business is being carried out. The governance of an enterprise is also linked to two related areas viz. risk and compliance. Risk management was hitherto unknown to the corporate world but after the implementation of Sarbanes Oxley Act and Basel II framework, organizations are applying the concepts of risk management into their operations. Risks can be further classified and the nature of risks will vary for different sectors of industry. In India they are multiple authorities which are responsible for handling the Corporate license approvals and renewals. But there is not a single agency which is responsible for Corporate Governance. This paper attempts to highlight the role of Human Resources Management in Corporate Governance considering the Indian environment.
