TRANSFORMATION OF COMPANIES FROM THE PERSPECTIVE OF LAW NO. 31/1990

Abstract

The legal consequences associated with amendments of a memorandum of association are influenced both by the intended purpose of the shareholders and by the practical type of amendment, whether it is in the form of changes of the share capital, mergers and acquisitions, dividing a company, change of registered office, change in the form of a company, extension of the company or others. The paper proposes an approach to the effects of such changes underlining the general principles with a special focus on the uniqueness of the legal personality of a company maintained even after such alliteration as change in the form of a company occurs. The research has illustrated the importance of the subject matter to Company Law, seen as a determinant element of a company’s legal status through which this specific entity brings about the necessary flexibility vital to its existence and survival.
