Corporate governance in Central and Eastern Europe countries - origins, similarities, differences, perspectives

Abstract

The paper focuses on corporate governance systems specificity in Central and Eastern European (CEE) states. In the first part, the author explains the main theoretical aspects of corporate governance and the most typical features of corporate governance systems in developed economies. Next part of the paper provides a description of how the privatization has influenced on selected corporate governance mechanisms in CEE countries. The main areas of this influence are: companies ownership structure, the role of the state in the ownership, development of capital market or mergers and acquisi-tions market. Corporate governance systems in CEE countries demonstrate both similar-ities, and differences, main of which are analyzed in other part of the article. In the last part the author makes an attempt to describe the perspectives of corporate governance systems in CEE economies.
