Instytucjonalne problemy ładu korporacyjnego w spółkach kapitałowych sektora publicznego

Abstract
W artykule przedstawiono dyskusję wokół istoty i znaczenia pojęcia "corporate governance" i prób spolszczenia tego terminu poprzez wprowadzenie do języka polskiego określeń: "nadzór korporacyjny", "ład korporacyjny". W dalszej części artykułu podano klasyfikację i krótką charakterystykę mechanizmów ładu korporacyjnego, ze zwróceniem uwagi szczególnie na instrumenty wewnętrzne tego nadzoru wraz z opisem tzw. Proefektywnościowych kontraktów. W kolejnej części artykułu wyjaśniono specyfikę spółek kapitałowych sektora komunalnego. Sporo miejsca poświęcono na omówienie tzw. Postulatów sprawnościowych ładu korporacyjnego wspomnianych spółek.
