Działanie na szkodę spółki zależnej – aspekty prawne

Abstract
Celem artykułu jest prezentacja prawnych aspektów funkcjonowania grup kapitałowych w Polsce. Opracowanie dotyczy prawa grup spółek rozpatrywanego z punktu widzenia potrzeb działalności gospodarczej, z uwzględnieniem ochrony akcjonariuszy mniejszościowych, wierzycieli i menedżerów spółek tworzących holding, w szczególności spółek zależnych. Wykazano, że polski system prawa nie spełnia w pełni potrzeb grup spółek i współczesnego obrotu gospodarczego i tym samym nie sprzyja konkurencyjności gospodarki.
