Abstract
In this article, the legal nature of joint operating agreement is examined. The research, dedicated to this publication, gives the possibility to describe agreement from the point of view of scope of contract, its elements, fundamental terms and form. Private Law has more importance in scope of regulation of legal relations as contract law has more main features of Private Law as freedom of expression of legal entities, legal equality, and possibility of independent definition of behaviour. Much attention is given by the author to the fact that joint operating agreement belongs to the classical contractual civil obligations. Joint operating agreement could seem quite simple, as even it provides the creation of collective entity that is organization, but unlike organization that is legal entity, it does not have the status of the legal entity. However, agreement does not lose essential features, which require thorough examination and research. In particular, it is one of few in civil law, which could automatically be referred to any group of agreements according to generally accepted criteria of purpose of its entry into an agreement such as conveyance of property, execution of work, rendering of services. In the publication, the topic of distinction of joint operating agreement from other civil law contracts. In addition, the question of imposition of charge and its absence is discussed in the article. Argumentativeness of this question is brought about by the fact that in the doctrine the agreements are to be paid for, if the conditions of one party face the counter obligation is to give possession of some material benefits. But the joint operating agreement does not provide counter consideration of each of the participants in favour of another as each of them makes his own material or/and personal contribution to achieve the desired result.
