Stewardship Code as a tool for eliminating agency conflict

Abstract
UK Stewardship Code is a British code of good practice, which plays an important role in corporate governance. The main aim of this paper is to popularize the knowledge about the UK Stewardship Code, the code of good practice for institutional investors, which motivates institutional investors to play an active role in monitoring the activities of the portfolio companies. The research method used in the article was the analysis of Polish and foreign literature, the UK Stewardship Code (the British code of good practice) and analysis the disclosures regarding the use of Stewardship Code by the British company Bell Rock Capital Management LLP. The article consists of three parts. The first part presents the institutional investor as a special participant in the capital market. In the second part of the article the agency conflict from the perspective of the institutional investors is presented. The third part describes the UK Stewardship Code. Final conclusions are presented in the end of this paper.
