Polish Two-Tier Board Model and European Board Structures: Current Issues and Possible Changes

Abstract
In Europe, there are different types of corporate boards. In some countries one-tier board model, the other a two-tier board model, and in some other countries companies may choose between the one-tier and two-tier model and they can implement that one which they deem appropriate for them. The pur-pose of this paper is to describe the models of corporate boards and their pros and cons, as well as an indication of recommendations for the development of the Polish corporate board model. After analyzing the various issues and trends author took the view that the most appropriate for Polish companies would be to introduce solutions to carry out a selection of the general meeting of each company between one-tier and two-tier board model.
