The distinctive features and problems of functioning of State Ow-ned Companies’ supervisory boards

Abstract
The aim of the article is to indicate distinctive features and problems of functioning of State Owned Companies’ (SOCs’) supervisory boards. Author assumes, that both features and functioning of the boards are determined by the regulations and the legal nature of the companies’ shareholder, the Treasury. Author conducted interdisciplinary research that consists of regulation analysis and large sample analysis among SOCs’ supervisory boards’ members and the officials of the Polish Ministry of Treasury. According to the research findings, the main distinctive features of the SOCs’ supervisory boards are political influ-ence and the dependence on the ministry officials. These features determines key problems of the supervisory boards’ functioning.
