The chairman of the board of directors / supervisory board – European good practices of corporate governance and the Polish practice

Abstract

This article aims to examine how the hitherto experiences of the chairmen of Polish listed companies relate to the expectations regarding the role and tasks of a chairman of a board of directors/supervisory board, which have been incorporated in the new “post-crisis” editions of good practices of corporate governance. A comparison of the expectations regarding the role of chairmen, formulated by the creators of the good practices from selected countries of Western Europe, with he Polish practice, based on the experiences of 15 members of supervisory boards of companies isted on the Warsaw Stock Exchange, leads to the conclusion that in both cases the chairman is expected to above all take on the role of a coordinator and a leader. The second main conclusion, based on the conducted research, is that there are also such tasks of chairmen, which in the practice of the Polish boards have not yet been perceived. One of the most important ones is the effort that a chairman should put into making sure that there is a continuous development of the gathered within the board knowledge resources as well as skills and to conduct a self-assessment of the his/her own work through the board.
