Abstract
The publication describes the possibility of binding a board member to the arbitration clause in the articles of association of a limited liability company during the process arising on the basis of article 293 of Polish Commercial Companies Code. Current wording of the provisions of Code of Civil Procedure verbally excludes such possibility. There is some risk that articles of association of the company would be applicable to a board member to a limited extent. In this respect publication shows the most important issues thereto.
